Source text - French Article 1 - Champ d’application
Le présent cahier des clauses administratives générales s’appliquent aux marchés industriels de [Client A], ci-après désigné "[Client A]".
Ces marchés peuvent prévoir de déroger à certaines de ces stipulations.
Article 2 - Langues
La langue du contrat est la langue française. Sauf stipulations particulières du marché, tous documents, décisions, informations et plus généralement tous échanges entre les parties devront être en langue française.
Le titulaire aura au moins un représentant sur le chantier maitrisant la langue française, dont le chef de chantier.
Article 3 - Définitions
Au sens du présent document :
- le marché constitue l'ensemble des obligations administratives, financières et techniques des parties. Il comprend notamment l'acte d'engagement et le CCAP qui formalisent l'engagement juridique et financier des parties et l’ensemble des stipulations d’ordre administratif spécifiques au marché, les pièces techniques et le présent CCAG. L'ensemble des pièces constitutives du marché et l'ordre de priorité de celles–ci sont précisés dans l'acte d'engagement ;
- Les "prestations " désignent, selon l'objet du marché, la fourniture d'équipements ou de prototypes ou de services, conçus et réalisés pour répondre aux besoins de [Client A]. Les prestations objet du marché peuvent comporter une part d'études.
- le maître d’ouvrage est [Client A], personne morale pour le compte de laquelle les prestations sont exécutés ;
- le maître d’œuvre est la personne, physique ou morale, chargée par le maître d’ouvrage d’une mission de conception, direction et contrôle de l’exécution des prestations, ou d’une partie de cette mission. Dans le cas d'un marché de conception réalisation, [Client A] désignera un représentant pour le suivi du marché qui utilisera les moyens et dispositifs attribués dans le présent marché au maitre d'œuvre.
- le contractant, également désigné le "titulaire" ou "partie", est la personne physique ou la personne morale ou le groupement momentané de telles personnes qui est contractuellement engagé à l’égard de [Client A] en vertu du marché ;
- le groupement est dit solidaire lorsque chaque membre cotraitant est engagé pour la totalité du marché et doit, de ce fait, pallier toute éventuelle défaillance des autres membres jusqu'à l'expiration du délai de responsabilité décennale. Sauf stipulations particulières, tout groupement est réputé solidaire ;
- le groupement est dit conjoint lorsque chaque membre cotraitant est engagé pour la partie du marché qu’il exécute ;
En cas de groupement conjoint, l'acte d'engagement ou le document intitulé marché indique le montant et la répartition détaillée des prestations que chacun des membres du groupement s'engage à exécuter.
- le mandataire est la personne morale ou physique, seule habilitée à représenter le groupement contractant à l’égard de [Client A] jusqu'à l'expiration de délais des garanties contractuelles et légales. Il assure
- les "tiers" désignent les personnes qui ne sont ni partie au marché ni sous-traitant ;
- Le terme "notification" est l'action consistant à porter une information ou une décision à la connaissance d'une ou des partie(s) contractante(s) par tout moyen matérialisé ou dématérialisé permettant de déterminer de façon certaine la date de réception.
- Le rejet est la décision prise par [Client A] qui estime que les prestations ne peuvent être reçues, même après ajournement ou avec réfaction
Translation - English Article 1 - Scope
These general provisions apply to procurement contracts for [Client A] hereinafter referred to as “[Client A]”.
Said contracts may derogate from some of these provisions.
Article 2 - Languages
The language of the contract shall be French. Unless specifically stipulated in the contract, all documents, decisions, information and, more generally, all interaction between the parties, shall be in French.
The contractor shall have at least one representative on site who is fluent in French, including the site manager.
Article 3 - Definitions
In this document:
- the contract constitutes the entirety of the parties' administrative, financial and technical obligations. In particular, it includes the deed of covenant and the special administrative terms and conditions that formalise the parties’ legal and financial commitments, as well as all the administrative provisions specific to the contract, technical documents and these general administrative terms and conditions. All documents constituting the contract, along with their order of priority, are set out in the deed of covenant;
- Dependent on the purpose of the contract, “Services” means the provision of equipment, prototypes or works, conceived and executed to meet the needs of [Client A]. The services outlined in the contract may include studies.
- the project manager is [Client A], the legal person on behalf of which the services are delivered;
- the project manager is the natural or legal person responsible for the task of planning, managing and monitoring provision of the services, or one part of this task. For a design-build contract, [Client A] shall designate a representative to monitor the project, who shall have the resources and powers attributed to the project manager under this contract.
- the contractor, also referred to as the “successful bidder” or “party”, is the natural or legal person or the group of such persons who are contractually engaged with [Client A] in the contract;
- groups shall be said to be joint and severally liable when each member is liable for the entirety of the contract and therefore must bear liability for any potential default of obligations by the other members of the group, up until the ten-year liability term has expired. Unless otherwise specified, all groups shall be deemed to be joint and severally liable;
- groups shall be said to be severally liable when each co-contracting member is liable for the part of the contract they are delivering;
Where a group is severally liable, the deed of covenant or the document entitled “contract” shall detail the amount and how the services are divided between each member of the group.
- the representative shall be the natural or legal person who alone has the power to represent the contractor group to Aéroports de Paris until expiry of the contractual and legal guarantee terms. They shall also assume responsibility for the administrative and financial coordination of the contractor group members. They shall also take on the tasks of scheduling, managing and coordinating the services within their group. Even where the group is severally liable, the representative shall be expressly deemed to be joint and severally liable for each other member of the group vis à vis Aéroports de Paris;
- the representative shall be designated in the contract. Failing this, the contract is not proper;
- Representatives of Aéroports de Paris shall be natural persons, the project manager and/or the representative of the project owner, duly designated by Aéroports de Paris in order to monitor conceptual studies, where appropriate, as well as delivery of the services.
- “third parties” shall mean persons who are neither party to the contract nor a sub-contractor;
- The term “notification" shall mean the action of bringing information or a decision to the attention of the contractor or parties by any material or virtual means, enabling the date of its receipt to be established beyond doubt.
- Rejection shall mean the decision taken by Aéroports de Paris deeming that the services, even after postponement or invoice adjustment, cannot be delivered
