Workflow
Die Messung mit der DPA ist sehr einfach und erfolgt in zwei Arbeitsschritten. Im ersten Schritt wird das zu messende Objekt mit Messmarkten und Adaptern signalisiert. Mit Hilfe zertifizierter Maßstäbe sind die Messergebnisse rückführbar. Dann erfolgt die Bildaufnahme aus unterschiedlichen Richtungen.
Die Auswertung und Adapterkorrektur der ermittelten 3D Koordinaten erfolgt danach vollautomatisch und erzeugt ein aussagekräftiges Messprotokoll.

Workflow

Source text - German ALLGEMEINE GESCHÄFTSBEDINGUNGEN
1. Allgemeine Vorschriften:
Die XXX erbringt ihre Leistungen ausschließlich gemäß den nach-folgend allgemeinen Geschäftsbedingungen, soweit nicht in einem schriftlichen Vertrag etwas anderes vereinbart wird. Anders¬lautenden Bedingungen des Auftraggebers wird hiermit wider¬sprochen.
2. Auftragserteilung:
Die Erteilung eines Auftrags an die XXX sowie jede Form des Ver-tragsschlusses bedarf der Schriftform.
Ergänzungen oder Änderungen jeder Art eines Angebots der XXX oder eines bereits bestehenden Vertrages bedürfen der Schriftform. Mündlich, fernmündlich oder fernschriftlich erteilte Auskünfte und Zusagen sind unverbindlich.
3. Vergütung:
Der im Angebot oder im Vertrag angeführte Preis ist kein Fest¬preis, soweit nichts anderes schriftlich vereinbart ist.
Sollte der vereinbarte Preis nicht ausreichen, um ein optimales Er-gebnis zu erreichen, dann wird die XXX den Vertragspartner hierüber unterrichten und Vorschläge über das weitere Vorgehen unterbreiten.
Die jeweils vertraglich vereinbarten Zahlungen müssen, wie auf der Rechnung bzw. dem Angebot ausgewiesen, innerhalb dieses Zeitraums nach Eingang der Rechnung der XXX beim Auftrag¬geber oder entsprechend der vertraglich vereinbarten Zahlungs¬termine auf ein von der XXX zu benennendes Konto eingezahlt werden.
Die Mehrwertsteuer wird gesondert in Rechnung gestellt und ver¬gütet, sofern eine solche anfallen sollte. Die XXX darf erst mit der Ausführung des Auftrags beginnen, wenn fällige Vorauszahlungen auf dem Konto eingegangen sind.
4. Arbeitsergebnisse/Erfindungen:
Es gilt die im Angebot oder im Vertrag vereinbarte Regelung.
Sollte dort keine gesonderte Regelung enthalten sein, gilt fol¬gen¬des: Der Auftraggeber erhält an den entstandenen Ergeb¬nis¬sen ein unwiderrufliches nichtausschließliches Nutzungsrecht. An den Kosten für die Anmeldung, Aufrechterhaltung und Vertei¬digung von Schutzrechten, die im Rahmen des Vertrages entstanden sind, erstattet der Auftraggeber der XXX ein noch zu ver¬einbaren¬des Entgelt. Sollte der Auftraggeber das Schutzrecht benutzen, so ist er auch zur Erstattung der Arbeitnehmererfinder¬vergütung verpflichtet.
5. Geheimhaltung/Veröffentlichung:
Die XXX wird alle vom Auftraggeber aufgrund dieses Vertrages erhaltenen Informationen technischer und geschäftlicher Art Dritten gegenüber geheim halten, und zwar auch über die Dauer dieses Vertrages hinaus, solange und soweit diese Informationen nicht auf andere Weise allgemein bekannt geworden sind oder der Auftraggeber schriftlich auf die Geheimhaltung verzichtet hat.
Mit Rücksicht auf die gesetzlichen Pflichten der XXX ist diese be¬rech-tigt, der im Rahmen dieses Vertrages erzielten Arbeitsergeb¬nisse in wissenschaftlich üblicher Form nach vorheriger Abstim¬mung mit dem Auftraggeber zu veröffentlichen.
Der Auftraggeber ist ebenfalls zur Veröffentlichung nach Abstim¬mung mit der XXX berechtigt. Dabei kann eine beabsichtigte Veröffentlichung die erforderliche Zeit zurückgestellt werden, wenn Dissertationen, Diplomarbeiten oder Schutzrechtsanmeldungen betroffen sein können. Diese Regelung gilt bis 2 Jahre nach Ende des Projekts.
6. Haftung/Gewährleistung:
Die Haftung der XXX, ihrer gesetzlichen Vertreter und Erfüllungs-gehilfen aus Vertragsverletzungen oder aus Delikt wird beschränkt
auf Fälle von Vorsatz, grober Fahrlässigkeit, Fehlen einer zuge¬sicher-ten Eigenschaft und Verletzung einer Pflicht, bei deren Nicht¬einhaltung der Vertragszweck gefährdet wäre. Die Haftung wird für nachgewiesene Schäden aufgrund grob fahrlässiger Verhaltens¬weisen auf die Höhe der Vertragsvergütung beschränkt, für Folgeschäden wird keine Haftung übernommen.
Die XXX gewährleistet die Anwendung wissenschaftlicher Sorgfalt sowie die Einhaltung der anerkannten Regeln der Technik, nicht aber das tatsächliche Erreichen des Forschungs- und Entwick¬lungs¬¬zieles.
Die XXX wird geeignete Mitarbeiter mit der Durchführung von Arbeiten im Rahmen dieses Vertrages betrauen und wird diese, soweit rechtlich zulässig, zur Einhaltung der Bestimmungen dieses Vertrages verpflichten.
Die XXX ist berechtigt, auftretende Mängel nachzubessern. Bei Fehlschlagen der Nachbesserung ist der Auftraggeber berechtigt, nach seiner Wahl eine Herabsetzung der Vergütung oder Rückgängig-machung des Vertrages zu verlangen. Weitergehende Gewähr-leistungs¬ansprüche sind ausgeschlossen.
Die Gewährleistung wird begrenzt auf sechs Monate nach Über¬¬¬ga¬be des Forschungs- und Entwicklungsergeb¬nisses. Dies gilt auch für Gewährleistungsansprüche, die nicht den gesetzlichen Ge-währleistungspflichten unterliegen.
7. Schutzrechte Dritter:
Sollten einem mit der Durchführung der Arbeiten eingesetzten Mit-arbeiter Schutzrechte bekannt sein oder werden, die im Zusam¬men-hang mit den Arbeiten im Rahmen dieses Vertrages von Bedeutung sein könnten, so wird der diesen Mitarbeiter beschäf¬tigende Vertragspartner dies dem anderen Vertragspartner unver¬züglich mitteilen. Eine Verpflichtung zur Durchführung von Recher¬chen dieser Art besteht nicht.
8. Kündigung:
Dieser Vertrag kann vorzeitig mit einer Frist von 3 Monaten gekündigt werden,
- wenn erkennbar wird, dass das erwartete Ergebnis nicht oder nicht ohne wesentliche Überschreitung der vorgesehenen Kosten oder Bearbeitungsdauer erreicht wird, oder
- wenn außergewöhnliche Umstände eintreten, aufgrund deren die Fortführung dieses Vertrages nicht zugemutet werden kann.
Bei einer vorzeitigen Vertragsbeendigung werden sich die Ver¬trags¬¬-partner über eine etwa noch erforderliche Restabwicklung ab¬-stimmen. Die bis zu diesem Zeitpunkt bei der XXX bereits ange-fallenen Kosten wird der Auftraggeber entsprechend Ziffer 3 zahlen.
9. Sonstiges:
Nebenabreden, Änderungen und Ergänzungen bedürfen der Schriftform.
Erfüllungsort ist Stuttgart. Als Gerichtsstand wird Stuttgart vereinbart. Es gilt das Recht der Bundesrepublik Deutschland.
Translation - English General Terms and Conditions
1. General rules:
The XXX provides its services exclusively in accordance with the following general terms and conditions, unless otherwise agreed in a written contract. Different conditions of the customer are hereby objected to.
2. Order placement:
The placing of the order to the XXX as well as any form of the contract must be made in writing.
Additions or amendments to any type of offer from the XXX, or to an already existing contract, must be made in writing. Information and commitments made orally, by telephone, or by telex or fax are non-binding.
3. Remuneration:
The price listed in the offer or in the contract is not a fixed price, unless otherwise agreed in writing.
If the agreed price is insufficient to achieve the best possible result, then the XXX will inform the contract party of this and present proposals for further action.
The contractually agreed payments in each case, as shown on the invoice or the offer, must be paid within this period of time after receipt of the invoice from the XXX on the part of the customer, or in accordance with the contractually agreed payment dates, to an account to be named by the XXX.
The VAT will be invoiced separately and paid for when applicable. The XXX may only begin with the execution of the contract after any advance payments due are paid into the account.
4. Work results/inventions:
The arrangements agreed in the offer or in the contract apply.
If there are no separate rules listed here, the following shall apply: The customer shall be given an irrevocable, non-exclusive usufructuary right to the results. The customer shall reimburse the XXX an as yet to be determined payment for the costs for the application, as well as the maintenance and defence of intellectual property rights occurring within the framework of the contract. If the customer uses the property rights, he is also obliged to refund the employees' invention remuneration.
5. Confidentiality/disclosure:
The XXX will treat all technical and commercial information received from the customer pursuant to the provisions of this contract confidentially with respect to third parties, even beyond the duration of this contract, as long as and to the extent that this information has not become generally known in any other way, or if the customer has waived the confidentiality obligation in writing.
With regard to the statutory obligations of the XXX, it is entitled to publish the work results achieved in the framework of this contract in a normal scientific work after prior consultation with the customer.
The customer is also entitled to publish the results after consultation with the XXX. Publication can be delayed by the required time if dissertations, theses or industrial property rights may be affected. This rule shall apply until 2 years after the end of the project.
6. Liability/warranty:
The liability of the XXX, their legal representatives and vicarious agents shall be restricted from breach of contract or in tort
to cases of wilful misconduct, gross negligence, lack of an assured property and breach of an obligation, inasmuch as their non-observance would risk the purpose of the contract. The liability for proven damages arising from grossly negligent behavior is limited to the amount of the agreed contractual remuneration; no liability is accepted for any consequential damages.
The XXX ensures the application of scientific care and compliance with recognized rules of technology, but not the actual achievement of the research and development target.
The XXX will entrust suitable staff to carry out work within the framework of this contract and, when permitted by law, will undertake to ensure compliance from said persons with the provisions of this contract.
The XXX is entitled to improve any defects. If such improvements fail, the customer shall be entitled to demand a reduction of the remuneration or cancellation of the contract, according to his choice. Further warranty claims are excluded.
The warranty is limited to six months after the presentation of the research and development result. This also applies to warranty claims not subject to legal.warranty obligations.
7. Intellectual property rights of third parties:
Should a person employed with the implementation of the work know or gain knowledge of intellectual property rights that may be of importance in the context of the work carried out within the framework of this contract, then the party to the contract employing this person shall immediately inform the other party to the contract of this. However, there is no obligation to conduct research on this.
8. Termination:
This agreement may be prematurely terminated with a notice period of 3 months,
- If it becomes apparent that the expected results will not be achieved, or only achieved after substantially exceeding the planned cost or processing time, or
- In the event of exceptional circumstances, due to which the con-tinuation of this contract cannot be reasonably expected.
In the event of early contract termination, the contractual partners shall agree on any necessary settlement / phasing-out process. Any costs incurred by the XXX up to this time will be paid by the customer in accordance with paragraph 3.
9. Other:
Any ancillary agreements, amendments and additions must be made in writing.
The place of performance is Stuttgart, Germany The agreed place of jurisdiction is Stuttgart, Germany. The law of the Federal Republic of Germany applies.
