Upon the terms and subject to the conditions hereinafter set forth, Landlord leases to

improvements now or hereafter located thereon and all appurtenances and privileges
related thereto, all of which area is hereinafter referred to as the "Premises."
Section 1. Lease Term. The lease term shall commence on _____________, and shall

Section 2. Rent. The annual rent for the lease term shall be $__________________,
payable in equal monthly instalments of $_______________, each, in advance of the
first day of each calendar month throughout the lease term. Tenant shall pay the first and last month's rent to Landlord at the time of the parties' execution of this Lease. If the lease term commences on a day other than the first day of a calendar month, the first

Section 3. Use of the Premises. Tenant's use of the Premises shall be in a lawful, careful, safe, and proper manner, and Tenant shall carefully preserve, protect, control and guard the same from damage. Tenant shall not use the parking area or the ingress and egress area of the Premises in an unreasonable manner so as to interfere with the normal flow of traffic or the use of such areas by occupants of properties adjacent to the Premises.
Section 5. Utilities. Tenant shall promptly pay or cause to be paid all charges incurred
for all utility services furnished to the Premises, including without limitation, telephone
service, sanitary sewer, water, natural gas, and electricity. Tenant shall also provide all
replacement light bulbs and tubes and pay for all maintenance of all utilities during the
lease term and any extension thereof.
Landlord does not warrant that any of the utility services above-mentioned will be free
from interruptions caused by war, insurrection, civil commotion, riots, acts of God or the enemy, governmental action, lockouts, picketing (whether legal or illegal), accidents, inability of Landlord to obtain fuel or supplies, or any other cause or causes beyond the reasonable control of Landlord. Any such interruption of service shall not be deemed an eviction or disturbance of Tenant's use and possession of the Premises, or any part thereof, or render Landlord liable to Tenant for damages, or relieve Tenant from the performance of Tenant's obligations under this Lease. Landlord shall have no
responsibility or liability for the failure of any public or private utility to supply sufficient or adequate utility services to the Premises.
Section 7. Maintenance and Repair. Tenant shall, at its sole cost and expense, keep and maintain the Premises, including without limitation, the roof, exterior, foundation,
structural and operational parts (cooling, heating, air conditioning, plumbing equipment
and fixtures), paving and landscaping, snow and ice removal, interior maintenance
(floors, doors, toilets, light replacement, etc.), and all other elements or systems of the
Premises, in a condition and repair similar to its original condition and repair, reasonable wear and tear excepted.

A document signed by a carrier (a transporter of goods) or the carrier's representative and issued to a consignor (the shipper of goods) that evidences the receipt of goods for shipment to a specified designation and person.
Carriers using all modes of transportation issue bills of lading when they undertake the transportation of cargo. A bill of lading is, in addition to a receipt for the delivery of goods, a contract for their carriage and a document of title to them. Its terms describe the freight for identification purposes; state the name of the consignor and the provisions of the contract for shipment; and direct the cargo to be delivered to the order or assigns of a particular person, the consignee, at a designated location.
There are two basic types of bills of lading. A straight bill of lading is one in which the goods are consigned to a designated party. An order bill is one in which the goods are consigned to the order of a named party. This distinction is important in determining whether a bill of lading is negotiable (capable of transferring title to the goods covered under it by its delivery or endorsement). If its terms provide that the freight is to be delivered to the bearer (or possessor) of the bill, to the order of a named party, or, as recognized in overseas trade, to a named person or assigns, a bill, as a document of title, is negotiable. In contrast, a straight bill is not negotiable.
In the United States, State laws, which often include provisions from the Uniform Commercial Code, regulate the duties and liabilities imposed by bills of lading covering goods shipped within state boundaries. Federal law, embodied in the Interstate Commerce Act (49 U.S.C. [1976 Ed.] § 1 et seq.) apply to bills of lading covering goods travelling in interstate commerce.

Source text - English As highlighted above, the relief sought at this stage of the proceedings is interim in nature. This engages the well known American Cyanamid principles. Thus, as a pre-requisite to granting an interlocutory injunction, the Court must be satisfied that the Plaintiff enjoys a good arguable case for securing the final relief sought and, further, that the balance of convenience favours injunctive intervention by the Court at this juncture. Furthermore, in cases where the Convention right to freedom of expression is engaged, the Court must give effect to section 12(3) of the Human Rights Act 1988, which precludes the grant of interim injunctive relief “unless the Court is satisfied that the applicant is likely to establish [at the trial] that publication should not be allowed”. In Cream Holdings –v- Banerjee [2005] 1 AC 253, this provision was considered by the House of Lords, which held that, properly construed, by virtue of section 12(3) the Court should not make an interim restraint order unless satisfied that the moving party’s prospects of success at the substantive trial are sufficiently favourable to justify such order, taking into account all of the circumstances. Thus the moving party must, as a general rule, traverse the threshold of satisfying the Court that he would probably succeed at the trial: see per Lord Nicholls, para [22]. The essence of the exercise which the Court must perform in any given case is to have particular regard to the importance of the right to freedom of expression while, simultaneously, giving effect to countervailing Convention rights: per Lord Nicholls para [23]. His observations in paragraph [19] are of note, as they have a particular resonance in the matrix of the present case.

Source text - English The Court ruled that Art. 95 of the EC Treaty is in fact a suitable basis for the intervention of the Community legislature, thus agreeing with the view of the Advocate General. In particular, the Court observed that, at the time of the Directive's adoption, disparities existed between national rules in the Member States which were likely to impede the free movement of goods and the freedom to provide services and which - even though it was not necessary to prove distortions of competition if the existence of obstacles to trade had been established - led to an appreciable risk of distortions of competition. Since the contested articles did, in fact, have as their objective the improvement of the conditions for the functioning of the internal market, the conditions for recourse to Article 95 of the EC Treaty were met. The Court added that the limits of the field of application of the prohibition were far from random and uncertain. The term "printed products", or "printed media" in language versions other than German, showed the will of the legislature not to include every type of publication in the field of application of this prohibition and only covered publications such as periodicals, newspapers and magazines, not items such as posters, telephone directories, programmes for cultural events and so on.
