Het vonnis gewezen door de vierde kamer van de rechtbank van Koophandel te Tongeren dd. [ ], gekend onder rolnummer [ ] inzake [ ] als eisende partij en [ ], vennootschap naar Italiaans recht, als verwerende partij.
[ ], vennootschap naar Italiaans recht, [ ], met zetel gevestigd te [ ].
Hebbende als raadsman meester [ ], met kantoor gevestigd te [ ].
VI.
Dat gedaagde in hoger beroep gehouden is te verschijnen voor het Hof van Beroep te Antwerpen, aldaar zitting houdend aan de Waalse Kaai 35A.
VII.
Dat onderhavig hoger beroep zal ingeleid worden op [ ] om 09.00 uur te openbare terechtzitting van het Hof van Beroep te Antwerpen, 4de Kamer, zaal F.
VIII.
Teneinde er akte te laten nemen van hun verklaring van verschijning overeenkomstig artikel 729, 1061., waarvan de teksten als volgt luiden ;
Artikel 729 : Wanneer de zaak niet bij de inleiding kan worden bepleit, kunnen de advocaten van de partijen in onderlinge toestemming, de in artikel 728 voorgeschreven verschijning vervangen door schriftelijk aan de griffier te verklaren dat zij in de zaak optreden en, in de mate van het mogelijke hun standpunt toelichten inzake de instaatstelling van de zaak.
Deze verklaring wordt vooraf aan de griffie gericht. Dit wordt vermeld op het zittingsblad
Artikel 1061 : De verklaring van verschijning van gedaagde geschiedt op de zitting onverminderd de toepassing van artikel 729.
IX.
Verzoekster opteert voor de toewijzing van de zaak aan een kamer met 3 rechters.
X.
Het hoger beroep van verzoekster is gericht tegen alle schikking van het vonnis van de rechtbank van Koophandel te Tongeren dd. [ ].
Het bestreden vonnis dient te worden vernietigd en opnieuw rechtdoende dient het Hof van Beroep te Antwerpen zich bevoegd te verklaren om kennis te nemen van het geschil en de vordering van verzoekster ontvankelijk en gegrond te verklaren.
FEITEN EN RETROACTEN
i.
Verzoekster is een vennootschap actief in de productie en de verkoop van [ ] en levert sinds 2010 op continue basis [ ] aan gedaagde in hoger beroep.
Sedert 2010 heeft verzoekster aan gedaagde in beroep facturen uitgeschreven voor een totaalbedrag van [ ] euro.

Gedurende deze bestendige handelsrelatie heeft verzoekster, zoals gedaagde in beroep opmerkt in totaal een bedrag van [ ] euro voornamelijk uit commerciële overwegingen.
Gedaagde in beroep betrof immers een belangrijke afnemer van verzoekster- dan omwille van redenen inherent aan de kwaliteit van de geleverde goederen.
Zuiver sfeerscheppende en gratuite beweringen als zou verzoekster geregeld inferieure goederen everen is alleen al strijdig met de aanhoudende bestellingen die crescendo waren.
Daar waar gedaagde in beroep voor het jaar 2010 goederen had aangekocht voor een bedrag van [ ] euro, bestelde verzoekster in het jaar 2011 voor een bedrag van [ ] euro, zijnde drie keer zoveel als het jaar voordien.
Indien gedaagde in beroep niet tevreden zou zijn geweest over de handelsrelatie met verzoekster dan had ze uiteraard voor het jaar 2011 nooit zoveel aangekocht.
De kern van de zaak betreft echter de niet-betaling van een factuur van [ ] euro die de levering van betrof van een partij [ ], waarvan door gedaagde de kwaliteit wordt betwist, waar minstens 2/3 van de partij werd verkocht voor een veelvoud van de aankoopprijs.
ii.
Medio februari 2011 heeft gedaagde in beroep een bestelling geplaatst bij verzoekster zonder dat in de bestelorder melding werd gemaakt van eisen inzake kleurvastheid of andere specifiteiten van het product.

Nadat verzoekster zelf wel reeds de absolute garantie had omtrent de kwaliteit van de geproduceerde goederen, werd op [ ] volgend schrijven gericht aan gedaagde in beroep :
“Regarding the new goods, we really are 100 % sure that they are fine, they are even double controlled. But it looks like your own testing labo has an other result of the colourfastness.
We checked a lot of item with the official Labo [ ] and we always get a good result on colourfastness (you have got all these testings). So, our tested products are more than fine and better than before. We admit that we got problems in the last delivery, and we took our full responsibility.
So, we don’t accept any discussion on the colourfastness after the delivery of the new goods, because they are good. So, you understand I can not send any goods, if you don’t confirm that the colourfastness of the last received samples. So we will not have any discussion after delivery about the colourfastness anymore. Even you can come over to Belgium to check the goods first.
Regarding sewing, finishing in general, …… the new shipment is really fine. I even saw it with my own eyes in China.”

We hebben verschillende items laten testen bij het officieel labo [ ] waar we altijd goede resultaten ontvingen omtrent kleurvastheid (deze testresultaten werden u overgemaakt). De geteste producten zijn dan ook meer dan goed en beter dan voordien. We geven toe dat er zich problemen voordeden voor wat betreft de vorige levering en nemen hiervoor onze volledige verantwoordelijkheid.

VIII.
Affinché venga preso atto della loro dichiarazione di comparizione conformemente agli articoli 729, 1061;
Articolo 729: nel caso in cui il procedimento non è del tipo da essere sostenuto al momento dell’introduzione, gli avvocati delle parti possono, di comune accordo, sostituire la comparizione prevista nell’articolo 728, facendo una dichiarazione scritta al cancelliere, in cui dichiarano di occuparsi del caso e illustrare, per quanto possibile, la loro posizione nel procedimento. Questa dichiarazione viene anteriormente indirizzata al cancelliere. Ne viene fatta menzione sul foglio di udienza.
Articolo 1061: la dichiarazione di comparizione del convenuto ha luogo all’udienza, senza pregiudizio di applicazione dell’articolo 729.

La ricorrente opta per l’assegnazione del caso ad una camera con 3 giudici.
X.
L’appello della ricorrente è diretto contro tutte le disposizioni della sentenza del Tribunale di Commercio di Tongeren in data [ ].
La sentenza impugnata deve essere annullata e la Corte di Appello di Anversa deve nuovamente statuire di dichiararsi competente per conoscere della controversia e dichiarare l’importo reclamato dalla ricorrente ammissibile e fondato.
FATTI E PRECEDENTI
i.
La ricorrente è una società attiva nella produzione e vendita di [ ] e dal 2010 fornisce regolarmente al convenuto in appello [ ].
Da allora la ricorrente ha emesso fatture alla convenuta in appello per un importo totale di
[ ] euro.

Durante questa relazione commerciale duratura, la ricorrente, così come la convenuta in appello sottolinea, ha accreditato un importo totale di [ ] euro, essenzialmente per considerazioni di carattere commerciale.
La convenuta in appello era dopotutto un’importante acquirente della ricorrente e non per motivi inerenti alla qualità della merce consegnata.
L’atmosfera creata e le affermazioni gratuite nei confronti della ricorrente, che avrebbe regolarmente consegnato merce di scarsa qualità, non è coerente con i continui ordinativi che aumentavano.
La dove la convenuta in appello nell’anno 2010 aveva acquistato beni per un importo di [ ] euro, nel 2011 faceva ordinativi alla ricorrente per un importo di [ ] euro, vale a dire tre volte di più rispetto all’anno precedente.
Se la convenuta in appello non fosse stata soddisfatta della relazione commerciale con la ricorrente, non avrebbe mai acquistato così tanta merce per l‘anno 2011.
Il nocciolo della questione riguarda, tuttavia, il non pagamento di una fattura di [ ] euro, riguardante la consegna di una partita di [ ], la cui qualità viene messa in discussione dalla convenuta e di cui almeno i 2/3 dell’ordinativo è stato venduto ad un prezzo multiplo rispetto al prezzo di acquisto.

A metà febbraio 2011, la convenuta in appello ha fatto un ordinativo presso la ricorrente senza che sul buono d'ordine fosse menzionato alcuna richiesta relativa alla solidità alle tinte o ad altre specifiche del prodotto.

Dopo che la ricorrente stessa aveva precedentemente avuto la garanzia assoluta sulla qualità della merce prodotta, in data [ ] è stata inviata alla convenuta in appello la seguente lettera:
