Dear employees,
We launched the group-wide project “Growing Together 2.0” in March 2013 with the aim of
maintaining (name)’s successful course in future. As well as developing our growth strate-
gies for the period up to 2020, it is also important that we have the right organizational
structures in place. We must therefore align ourselves correctly internally in order to
achieve continued growth.
Our current company structure is very complex. In (country), the senior management level
is particularly wide. In the fiscal year 2012/13, it consisted of five Board of Management
members for (name) AG and 17 Managing Directors for (name) Pressen, (name) Cartec
(the entire technology field process technology), (name) SMG, (name) Pressensysteme
and (name) Automation. In our daily work, this means for all of us that responsibilities are
not always clear and decision processes can often be lengthy. Moreover, the individual
companies of the (name) Group do not have a common external image – e.g. when dealing
with customers. This weakens our market opportunities.
The Board of Management has developed a concept for a new corporate structure. At its
meeting yesterday, the Supervisory Board of (name) acknowledged the new
management organization and instructed the Board of Management to take the necessary
action and start negotiations required. The aim of the new corporate structure is to reduce
complexity, accelerate decision processes and streamline management. We also made a
conscious decision to start at the very top.
The new organization aims to lay a firm foundation which will enable us to tackle future
challenges more successfully and efficiently.

ihrer Wirksamkeit der Schriftform. Dies gilt nicht für Individualvereinbarungen gemäß 305 b BGB.
Sollte eine Bestimmung dieser Vereinbarung unwirksam sein, wird die Wirksamkeit der übrigen
Bestimmungen hiervon nicht berührt. Eventuell unwirksame Bestimmungen werden durch in der
Interessenlage und Bedeutung möglichst nahe kommenden, wirksame Vereinbarungen ersetzt.

4. Return Obligations
Mr. (employee) will return, at the latest on June 30, 2017, all company’s properties, such as, documents and work material under his responsibility, namely Laptop, cell phone, ID card, keys, magnetic cards, etc.
He must also undertake to delete and / or destroy records of (company) or affiliated companies, which are in his possession (electronic data), at the latest at the above date.
5. Final Provisions
This agreement settles all the mutual rights arising and related to the work relationship, its ending and its subsequent period.
This does not apply to existing or future rights arising from the company's pension plan. These will be dealt with and ruled by a special agreement between the parties and (company) GmbH. The same applies to the counting of working time as well as holidays entitlement.
No prior or subsequent verbal agreements are accepted. Any changes or inclusions of provisions to this agreement will only be effective if celebrated in a writing signed by the parties. This does not apply to the individual agreements provided in the German Civil Code 305b.
Should any provision of this agreement become invalid, the validity of remaining herein provisions shall not be affected. Eventual invalid provision will be solved and arranged by effective agreements as soon as possible, taking into consideration the mutual interest of the parties.

O EMPREGADO compromete-se a manter absoluto sigilo referente ao conteúdo deste acordo perante qualquer pessoa, exceto se ele seja obrigado legalmente a fornecer informações, ou se a informação deva ser fornecida por motivos fiscais ou de seguridade social frente a autoridades públicas ou para assegurar os direitos num processo judicial.
4. Obrigações de Devolução
O Sr. (empregado) Branco devolverá até, no mais tardar, 30 de Junho de 2017, todos os documentos da empresa que estão em seu poder, e os materiais relacionados às suas atividades, em especial Laptop, telefone celular, carteira de identificação, chaves ou cartões magnéticos, etc.
Ele se obriga também a apagar ou destruir documentos ou registros da Schuler ou de suas empresas relacionadas, que estão em seu poder de forma eletrônica até, no mais tardar, 30 de Junho de 2017.
5. Disposições finais
Com o cumprimento deste Acordo, estão resolvidos todos os direitos mútuos provenientes e relacionados às relações de trabalho, seu término e pelo período posterior ao seu término, seja por qualquer razão legal, conhecida ou desconhecida.
Isto não se aplica para direitos existentes ou futuros decorrentes do plano de previdência da empresa. Estes serão tratados e regidos por um acordo especial entre as partes e a (empresa) GmbH. O mesmo vale para o crédito de tempo de serviço, assim como direito a férias.
Não foram feitos quaisquer acordos verbais. Alterações e adições a este Acordo só serão válidos quando feitos por escrito. Isto não se aplica a acordos individuais previstos no Código Civil Alemão 305 b.
Caso uma disposição deste acordo torne-se invalida, a validade das demais disposições aqui mencionadas não será afetada. Eventuais disposições que estejam invalidas, serão substituídas por acordos efetivos o mais próximo possível dos respectivos interesses e significado.
