EXPONEN
Que el *** es autor de la información cartográfica contenida en los soportes informáticos referidos en el presente contrato, y ostenta, sobre ésta, propiedad intelectual en pleno y total dominio.
Que al cesionario le interesa el uso del soporte informático propiedad del ***.
Todo ello en base a las siguientes
ESTIPULACIONES
1. OBJETO DEL CONTRATO
Otorgamiento de cesión de uso no exclusivo de la información cartográfica contenida en soportes informáticos.
Por el presente contrato, el *** otorga al cesionario, y éste lo acepta, una licencia limitada, sujeta a los términos y condiciones aquí descritos, para el uso de la información cartográfica contenida en soportes informáticos EXCLUSIVAMENTE PARA EL USO PROPIO DE LA EMPRESA QUE REPRESENTA.
El cesionario, como contraprestación, se obliga a entregar al *** la cantidad de ............................... (................................................................) pesetas. Esta cantidad no incluye el dieciséis por ciento (16%) del Impuesto sobre el Valor Añadido (IVA).
2. PROPIEDAD
Los datos contenidos en los soportes informáticos facilitados por el *** son propiedad intelectual en pleno y total dominio del ***, y está emparada por la legislación vigente en materia de Propiedad Intelectual. El cesionario no adquiere título, derecho o interés sobre la información objeto de este contrato, a excepción de los derechos de licencia de uso que se conceden a través del mismo.
3. LICENCIA. Contenido
El cesionario se obliga a utilizar la información cartográfica cedida, EXCLUSIVAMENTE para fines propios.
Los datos contenidos en este soporte informático se suministran confidencialmente al cliente, el cual es responsable de tomar todas las medidas necesarias para proteger continuamente la propiedad y la confidencialidad de los datos cartográficos.
En consideración al pago de la cuota por concepto de licencia, se le otorga un derecho no exclusivo para usar y visualizar este soporte informático, propiedad del ***, en un ordenador compatible con el uso de los datos objeto de este contrato y con una sola unidad de proceso central, en un solo lugar, durante el tiempo que el cesionario cumpla los términos de dicha licencia. Si el ordenador estándar en el cual habitualmente se utilizarán los datos del soporte informático está integrado en un sistema destinado a diversos usuarios de la misma empresa conectados mediante red local, la licencia afectará a todos, sin necesidad de otro pago adicional.
La presente licencia tendrá carácter NO EXCLUSIVO, Y NO TRANSFERIBLE.
4. OBLIGACIONES DEL CESIONARIO
El cesionario se obliga:
A.- A no copiar, sin autorización previa, los datos aquí cedidos, incluidos los que se hayan modificado, fusionado o adherido en otro soporte informático, ni copiar el material escrito, todo ello, sobre cualquier soporte físico.
Se permite hacer una única copia con propósitos de protección (copia de seguridad), en la cual se deben incluir los correspondientes avisos de derechos de autor, donde se indique la titularidad de la propiedad del ***.
En este último caso, deberá reproducir, sobre la copia de seguridad, cualquier marca registrada, aviso de “copyright”, y cualquier otra advertencia legal contenida en los soportes informáticos, que indique la titularidad de la propiedad del ***.
B.- A abstenerse de quitar del programa cualquier marca registrada, razón social, aviso de “copyright” u otras advertencias. Será responsable, tanto de su conservación en las copias recibidas bajo este contrato, como de su reproducción en cualquier copia de seguridad, de la información objeto de este contrato o en cualquier parte del mismo, unida, mezclada o fusionada con otros datos informáticos.
C.- El cesionario, sin autorización previa por escrito, se abstendrá de comunicar, de forma tácita o expresa, la información cartográfica cedida, o dar conocimiento de ella o acceso a ella, a tercera personas. No se consideran terceras personas los trabajadores, asociados y personas que necesariamente deban tener acceso a la información para el desarrollo de los fines lícitos, propios de la empresa cesionaria.
El cesionario se compromete a dar a conocer o comunicar las restricciones incluidas en este contrato a todas las personas a las que da trabajo, dirige o controla, y, en consecuencia, será responsable directo de que sus empleados, representantes u otras personas bajo su supervisión respeten los términos y condiciones del contrato y, en especial, los que hacen referencia a los derechos de propiedad intelectual del *** sobre la información cartográfica objeto del presente contrato.
D.- A guardar en un lugar seguro los soportes informáticos facilitados por el ***, así como la copia de seguridad que, eventualmente, pudiera existir.
El robo, hurto o cualquier otra sustracción fraudulenta de los soportes informáticos, así como la pérdida de éstos, deberá ser comunicada al *** por escrito, sin que este hecho signifique exoneración alguna de la responsabilidad que dicha pérdida comporta.
5. SEGURIDAD
Cualquier vulneración del uso de la información cartográfica permitida por este contrato, o cualquier acto realizado por las personas señaladas anteriormente que pudiera significar una violación de los derechos de propiedad intelectual del ***, o supusieran un peligro evidente para éste, deberá ser comunicada al *** por el cesionario, de forma inmediata y por escrito.
6. GARANTÍA OTORGADA POR EL ***. Garantía Limitada
El *** garantiza al cesionario original durante un período de SESENTA DÍAS NATURALES, a partir de la fecha de entrega, que el soporte o soportes donde están registrados los datos están libres de cualquier defecto de materiales o de mano de obra. En todos los casos, se deberá comunicar al ***, dentro de este período de garantía, cualquier eventual defecto que impida el acceso claro a la información cartográfica contenida en los soportes informáticos facilitados.
El *** se obliga, en un plazo razonable, a REPARAR o SUBSTITUIR los soportes informáticos proporcionados, sin que, en ningún caso, el límite de su responsabilidad pueda superar el precio pagado por el cesionario para el uso de esta licencia.
La garantía prestada por el ***, para la cesión del soporte digital, no será de aplicación cuando los defectos señalados anteriormente sean fruto de la actitud dolosa o negligente, del cesionario o de sus empleados, en el tratamiento de los datos o de los soportes informáticos facilitados.
La licencia de uso de la información cartográfica contenida en los soportes informáticos se cede sobre éstos tal y como se suministran, y, por lo tanto, no se aceptan reclamaciones por supuestas especificaciones en la información contenida, o por defecto de información cartográfica, o eventuales errores en la citada información. El *** no se responsabilizará de los daños ocasionados al cesionario o a terceros por la utilización comercial, profesional, o de cualquier otro tipo que el cesionario haga de la citada información.
EN CONSECUENCIA, EL CESIONARIO RENUNCIA DE FORMA EXPRESA A TODA RECLAMACIÓN FRENTE AL *** POR LOS DAÑOS DIRECTOS O INDIRECTOS QUE SE PUDIESEN PRODUCIR POR LA UTILIZACIÓN DE LA INFORMACIÓN, SEA AL CESIONARIO, O BIEN A TERCEROS, y, por lo tanto, el cesionario se obliga, en este último caso, a responder frente a éstos de forma directa, con total indemnidad del ***.
7. PROHIBICIÓN ESPECIAL
Corresponde al *** el ejercicio exclusivo de los derechos de explotación de la información cartográfica contenida en los soportes informáticos en cualquiera de sus formas y, en especial, los derechos de reproducción, traducción, distribución y comunicación pública, que no podrán ser realizados sin su autorización.
Asimismo, queda especialmente prohibido ARRENDAR, VENDER, PRESTAR, LICENCIAR, COMPARTIR, DIFUNDIR o TRANSFERIR, a través de cualquier medio posible, la información cartográfica contenida en los soportes informáticos o en sus copias, así como la realización de los actos enumerados anteriormente en relación a las copias obtenidas en cualquier soporte físico.
Queda especialmente prohibido al cesionario la EDICIÓN, por sí mismo o por mediación de terceros, de mapas o cualquier otro tipo de documentación, obtenida a partir de la información cedida por el ***, sea o no con fines lucrativos.
Únicamente la autorización EXPRESA Y ESCRITA del *** permitirá la realización de los actos y contratos enumerados.
8. DURACIÓN
Este contrato es efectivo a partir de la fecha de recepción del producto informático por parte del cesionario, y seguirá vigente hasta la resolución de éste por parte del ***, tal y como está previsto en la estipulación número 9 de este contrato.
9. RESOLUCIÓN DEL CONTRATO. Causas
El contrato y la licencia con él otorgada se pueden resolver inmediatamente por el *** por medio de comunicación escrita al cesionario en caso de incumplimiento, por parte del cesionario, de cualquier estipulación de este contrato, o cuando, por cualquier circunstancia, cesen los derechos de utilización que tenga el cesionario sobre el producto.
En esta suposición, el cesionario estará de antemano obligado a destruir la información cartográfica contenida en los soportes informáticos, sus copias, o cualquier otro soporte físico, sin que este hecho signifique la devolución por el *** de cantidad alguna abonada por el cesionario, ni la realización, por parte del ***, de contraprestación alguna al respecto. Asimismo, y en todos los casos, el cesionario deberá certificar por escrito que no se encuentra en posesión de ningún soporte informático, copia o cualquier otra reproducción de la información cartográfica suministrada a través de este contrato, con independencia del soporte físico que le sirva de base y la persona o personas que la posean.
Independientemente de la resolución de este contrato, persistirá la obligación del cesionario de garantizar que no se producirán violaciones en la propiedad intelectual del *** en relación con la información cartográfica a la cual hubiera tenido acceso, tanto él mismo como sus empleados, por la manipulación de los soportes informáticos suministrados.
El *** se reserva el derecho de ejercer las acciones legales pertinentes, no sólo contra el cesionario, sino también contra el poseedor de alguna copia, y cuantas personas hubieran intervenido en la vulneración de los derechos de propiedad intelectual del *** sobre la información cartográfica contenida en los soportes informáticos.
10. FUERO APLICABLE. Competencia de los Juzgados y Tribunales de Barcelona
Los Juzgados y Tribunales de Barcelona serán los competentes para dirimir cualquier cuestión que pudiera salir entre las partes sobre la interpretación y/o cumplimiento de lo dispuesto en las estipulaciones presentes, al efecto de las cuales las dos partes se someten a su jurisdicción y competencia, renunciando a cualquier otro fuero que les pudiera corresponder.
Manifestando expresa conformidad, las dos partes firman el presente contrato en el lugar y fecha expresados en el encabezamiento.

Whereas the *** is the author of the cartographic information in computerized form referred to in this contract, and whereas it holds the full copyright on this information.
Whereas the assignee is interested in the use of the computer data owned by the ***.
The agreement is governed by the following
PROVISIONS
1. OBJECT OF THE CONTRACT
The assignment of non-exclusive use of the cartographic information in computerized form.
Through this contract, the *** grants the assignee, and the latter accepts, a limited license, subject to the terms and conditions described herein, for the use of the cartographic information in computerized form EXCLUSIVELY FOR THE PRIVATE USE OF THE COMPANY THAT HE REPRESENTS.
The assignee, in return, is obliged to give to the *** the sum of............................... (................................................................) pesetas. This sum does not include sixteen per cent (16%) corresponding to Value Added Tax (IVA).
2. OWNERSHIP
The *** has full and total intellectual property rights over the information contained on the computer storage media that it has provided, and this information is protected by current copyright legislation. The assignee does not acquire any ownership, right or interest with respect to the information referred to in this contract, with the exception of the rights of use that are granted by it.
3. LICENSE. Contents
The assignee is obliged to use the cartographic information assigned EXCLUSIVELY for his own purposes.
The data contained in computerized form is supplied to the client in confidence, and he is responsible for taking all the necessary measures to constantly protect the ownership and confidentiality of the cartographic data.
With respect to the payment of the fee for the license, the assignee is granted a non-exclusive right to use and view this computerized material, property of the ***, on a computer that is compatible with the use of the data referred to in this contract and with one sole central processing unit, in one sole place, during the period in which the assignee complies with the terms of this license. If the standard computer on which the data in computerized form will normally be used is integrated in a system for various users in the same company who are connected through a local network, the license shall apply to all these users, without the need for an additional payment.
This license is NON-EXCLUSIVE AND NON-TRANSFERABLE.
4. OBLIGATIONS OF THE ASSIGNEE
The assignee undertakes:
A.- Not to copy, without prior authorization, the data assigned here, including the data that has been modified, merged or added to another storage medium, nor to copy any of the written material on to any physical medium whatsoever.
He is permitted to make one sole copy for protection purposes (back-up copy), on which the pertinent copyright warnings must be included, indicating that the material is owned by the ***.
In this last case, he shall be obliged to reproduce on the back-up copy any registered trademark, copyright warning and any other legal warning contained on the computer storage media that indicates the ownership rights of the ***.
B.- To refrain from removing any registered trademark, corporate name, copyright warning or other warnings from the program. He shall be responsible for both their preservation on the copies received under this contract, and for their reproduction on any back-up copy of the information referred to in this contract or in any part thereof that is joined, mixed or merged with other computerized data.
C.- Unless he has prior authorization in writing, to refrain from communicating, either tacitly or expressly, the cartographic information assigned, or to provide knowledge thereof or access thereto to third parties. The workers, associates and persons that must necessarily have access to the information in order to pursue the licit ends that are proper to the assignee company are not considered to be third parties.
The assignee undertakes to provide knowledge of or to communicate the restrictions included in this contract to all the persons who he employs, manages or controls, and therefore he will be directly responsible for ensuring that his employees, representatives and other persons under his supervision respect the terms and conditions of the contract, and particularly those terms concerning the intellectual property rights of the *** over the cartographic information referred to in this contract.
D.- To keep both the computerized material provided by the *** and the back-up copy that might exist in a safe place.
The robbery, theft or any other fraudulent removal of the computerized material, in addition to the loss thereof, shall be communicated to the *** in writing, although this action shall not in any way exonerate the assignee from his responsibility for such a loss.
5. SECURITY
Any breach of the use of the cartographic information permitted by this contract, or any act perpetrated by the afore-mentioned persons that could represent a violation of the intellectual property rights of the ***, or could pose a clear risk for the ***, shall immediately be communicated to the *** by the assignee in writing.
6. GUARANTEE FURNISHED BY THE ***. Limited Guarantee
The *** provides the original assignee with the guarantee that, for a period of SIXTY CALENDAR DAYS from the date of delivery, the medium or media on which the data are stored are free of any defect due to materials or labor. At all events, any defect that may prevent clear access to the cartographic information contained on the storage media provided shall be communicated to the *** within this period of guarantee.
The *** is obliged to REPAIR or REPLACE the storage media within a reasonable period of time, while under no circumstances may the extent of its responsibility exceed the price paid by the assignee for the use of this license.
The guarantee furnished by the *** for the assignment of the digital material shall not be applicable if the afore-mentioned defects are caused by fraudulent or negligent action on the part of the assignee or his employees, in their treatment of the data or the computerized media provided.
The license to use the cartographic information contained on the storage media is granted with respect to these media just as they are supplied, and therefore no complaints will be accepted concerning any alleged specifications in the information contained thereon, or any defect in the cartographic information, or any possible errors in this information. The *** shall not be responsible for the damage caused to the assignee or to third parties arising from the commercial, professional or any other type of use made by the assignee of this information.
CONSEQUENTLY, THE ASSIGNEE EXPRESSLY RELINQUISHES THE RIGHT TO PLACE ANY CLAIM BEFORE THE *** FOR DIRECT OR INDIRECT DAMAGES THAT MIGHT ARISE FROM THE USE OF THE INFORMATION MADE BY EITHER THE ASSIGNEE OR THIRD PARTIES, and therefore the assignee recognizes, in the latter case, that he is directly responsible for any such damage, while the *** shall be wholly exempt of any such responsibility.
7. SPECIAL PROHIBITION
The *** holds full and exclusive rights to the use of the cartographic information contained on the computer storage media in any of its forms and, in particular, full and exclusive rights to its reproduction, translation, distribution and public communication, which may not take place without its authorization.
Furthermore, it is expressly forbidden to LEASE, SELL, LEND, LICENSE, SHARE, DIFFUSE or TRANSFER, through any possible means, the cartographic information contained on the computer storage media or its copies, and also to perform any of the afore-mentioned actions with relation to the copies obtained on any physical medium.
The assignee is expressly forbidden to PUBLISH, by himself or through third parties, any maps or other type of documentation obtained from the information assigned by the ***, be this or be this not for profit-making purposes.
The acts and contracts enumerated may only be executed following the EXPRESS WRITTEN authorization of the ***.
8. DURATION
This contract becomes effective from the date that the computerized product is received by the assignee, and it will remain in effect until it is terminated by the ***, as established in provision number 9 of this contract.
9. TERMINATION OF THE CONTRACT. Causes
The contract and the license granted with it may be terminated immediately by the *** by means of a written communication to the assignee in the event of non-compliance on the part of the assignee of any provision in this contract, or when, under any circumstances, the rights of use that the assignee holds with respect to the product may cease.
Should termination occur, the assignee shall be obliged in advance to destroy the cartographic information contained on the storage media, its copies, or any other physical medium, while this shall not lead to any obligation on the part of the *** to return any sum paid by the assignee or to provide any compensation in this respect. Furthermore, and in every case, the assignee shall certify in writing that he is not in possession of any computer storage medium, copy or any other reproduction of the cartographic information supplied through this contract, independently of the physical medium on which it may be stored and of the person or persons who may possess this information.
Independently of the termination of this contract, the assignee shall remain obliged to guarantee that the intellectual property rights of the *** are not violated with relation to the cartographic information to which he himself or his employees might have had access, as a result of the manipulation of the computer storage media supplied.
The *** reserves the right to take the appropriate legal action, not only against the assignee, but also against whosoever possesses a copy of the information, and against any persons that might have been involved in violating the intellectual property rights of the *** with respect to the cartographic information contained on the storage media.
10. JURISDICTION APPLICABLE. Competence of the Courts and Tribunals of Barcelona
The Courts and Tribunals of Barcelona shall be empowered to resolve any dispute that might arise between the parties concerning the interpretation and/or fulfillment of any of the provisions contained herein. In all that relates to the effect of these provisions, both parties submit to their jurisdiction and competence, renouncing any other jurisdiction that might be applicable to them.
And in proof of their express acceptance, both parties hereto sign this contract in the place and on the date indicated above.

Translation - English Vivers de Cardedeu, s.a., which has more than 40 hectares of land, has specialised since 1972 in the cultivation and commercialisation of plants, shrubs and trees, particularly large species, such as Quercus Ilex, Quercus Suber, Olea Europea, Arbums Unedo, Pinus pinea and Magnolia Grand Gallisoniensis, among others.
