In addition, the Sellers acknowledge and agree that Purchaser shall accommodate Sellers' obligation to fully satisfy and extinguish all loans and notes payable of the Business, which are identified as Closing Loan Payoffs in Section XX and set forth on Exhibit Z attached hereto, and which Sellers estimate to have an aggregate payoff balance of not more than $XXX XXX (the "Payoff Holdback Amount").

Liabilities

Except for the Liabilities as per Section XX above, at Closing, XYZ will have no Debt. Prior to the Closing, the Sellers shall have obtained payoff letters effective as of the Business Day following the Closing Date with respect to the Debt identified in subparagraphs (i) through (vii) below (collectively, the "Closing Loan Payoffs"), and Purchaser will pay such Debt, as an accommodation to the Sellers in accordance with Section XXa in order to cause all such Debt to be extinguished simultaneously with the Closing.

Предположението ми е, че в този случай "accommodate" означава, че продавачът ще покрие заемите на фирмата, която продава акциите си, но не съм на 100% сигурна, още повече, че в речниците accommodation се среща и като заем, кредит...
