Dekuji vsem Dekuji vsem za hodnotne prispevky, vybral jsem to, co mi pripadalo nejpresnejsi a nejvice neutralni, vsechny executive terminy byly pro mne prilis evropsky orientovane.
Non-ProZ.com Mar 29, 2005:
authorized representative This is what recommended my most trusted US lawyer and Czech expert (sorry Daniela (-:)For "jednatel," I'd probably use "authorized representative" to translate the idea that there can be more than one of them, that he, she, or they don't need to be the top executive, etc., but that a deal made with them will bind the entity. The key idea for corporate governance and contracting purposes is the existence of authority to bind the entity -- so I'd go with "authorized representative" and avoid anything that suggests a particular US or UK style set of officers, e.g., I'd avoid "CEO" or "executive" or the like.

Not much consensus on this one, guys

company secretary - member of the board of directors

I think that's it. Could be "executive board" or simply "board".

agree Jirina Nevosadova : I came across "company secretary" here in CR. It was a multinational company, but the people were mostly German.

Thanks - however, I suspect that "statutory representative" is more accurate!

executive - member of the board

These terms vary depeding on the duties and powers the person has within the company. However, "jednatel" is generally an "executive. If the context points to the top executive (as you suggest by using Managing Director) then I'd use CEO or Chief Executive Officer. this would be ther person who represents the company and makes decisions on its behalf("jedna v mene spolecnosti" in Czech). It is common for a CEO to be on the board as well - therefore "member of the board" would also be added.

disagree Lubosh Hanuska : in business terms an "executive board" would not make sense...

Executive - member of the Board of Directors

I am a lawyer and I practiced law both in the Czech Rep and the UK. These are the terms used for jednatel and clen predstavenstva. CEO, CFO etc. are terms showing the position of the person in the company but not necessarily their status of statutory representatives (both the executive and the member of BOD are statutory representatives - statutarni organ)

If your documents is for UK audience, you could also use \"director\" for jednatel.

Hope this is helpful.
