2. Es sei die Beklagte zu verpflichten, folgende Urkunden und Informationen zu edieren:
- alle zwischen ihr und der „xxxxxxxxxxx“ (CMB) seit dem 18. Juli 2008 abgeschlossenen Kaufverträge
- alle Zahlungen der „wwwww“ (CMB) an die Beklagte aus sämtlichen zwischen der Beklagten und der CMB seit dem 18. Juli 2008 abgeschlossenen Kaufverträgen.
3. Unter Kosten und Entschädigungsfolgen zuzüglich Mehrwertsteuer zu Lasten der Beklagten.

1. La convenuta è tenuta a corrispondere all'attrice la somma di CHF 7.354.238,40 più interessi di mora annuali pari al 5% a partire, al più tardi, dal 3 giugno 2010, con riserva del diritto di rivendicazione in seguito alla presentazione della documentazione richiesta al punto 2.
2. La convenuta è tenuta a produrre la seguente documentazione e le seguenti informazioni:
- tutti i contratti di compravendita stipulati tra la convenuta e "xxxxxxxxxxx" (CMB) a partire dal 18 luglio 2008
- tutti i pagamenti corrisposti da "wwwww" (CMB) a favore della convenuta derivanti da tutti i contratti di compravendita stipulati tra la convenuta e CMB a partire dal 18 luglio 2008.
3. Spese processuali e ripetibili più IVA a carico della convenuta.

Ausgangstext - Englisch The Shareholders Meeting must be called at least 20 calendar days prior to the date fixed for such meeting. The notice of the meeting shall specify the items on the agenda and proposals and it shall be published in the Swiss Official Trade Journal or, if all the shareholders are known, they shall be notified via registered letter. The Board of Directors must include on the agenda of the subsequent Ordinary Shareholders Meeting or Extraordinary Meeting any items and proposals that are timely proposed in writing by the shareholders, unless said shareholders request that an Extraordinary Shareholders Meeting be called.
In particular, the trial petition submitted by the Bolivarian Republic of Venezuela was rejected because the guarantees issued by the same and included in the promissory notes, do not constitute an acta iure imperii but rather an acta iure gestionis of the State - equivalent to similar guarantees issued by private entities - and there is consequently a “sufficient connection” with the Swiss territory.
A civil petition is deemed to be admissible when presented promptly by the losing party to the Canton offices (Art. 76, paragraph 1, letter a, LFT) and challenging a decision issued by the Ticino authorities of last resort (Art. 75. paragraph 1, LTF) in a civil proceeding (Art. 72, paragraph 1, LTF) whose litigation value significantly exceeds the limit of CHF 30'000 (Art. 51, paragraph 1, letter c and Art. 74, paragraph 1, letter b LTF).

La comunicazione dell'assemblea dovrà specificare gli argomenti all'ordine del giorno e le proposte; inoltre, dovrà essere pubblicata sul Foglio Ufficiale Svizzero di Commercio o, qualora siano noti tutti gli azionisti, questi dovranno essere informati tramite lettera raccomandata. Il Consiglio di Amministrazione deve inserire nell'ordine del giorno dell'Assemblea Ordinaria degli Azionisti o dell'Assemblea Straordinaria successiva ogni argomento o proposta che siano stati suggeriti per tempo e per iscritto dagli azionisti stessi, a meno che questi non richiedano la convocazione di un'Assemblea Straordinaria degli Azionisti.
In particolare, il ricorso in tribunale presentato dalla Repubblica Bolivariana del Venezuela è stato respinto perché le fideiussioni emesse dalla stessa e comprese nei pagherò non costituiscono un acta iure imperi ma piuttosto un acta iure gestionis dello Stato – equivalenti a fideiussioni simili emesse da enti privati – e, di conseguenza, sussiste un "nesso sufficiente" con il territorio svizzero.
Un ricorso civile è ritenuto ammissibile se presentato tempestivamente agli uffici cantonali dalla parte soccombente (art. 76, comma 1, lettera a, LFT) e se contesta una sentenza emessa dalle autorità ticinesi di ultima istanza (art. 75, comma 1, LTF) in una causa civile (art. 72, comma 1, LTF) il cui valore superi in maniera significativa il limite di CHF 30.000 (art. 51, comma 1, lettera c e art. 74, comma 1, lettera b LTF).
